These Terms and Conditions (“Terms”) establish the professional framework between EN (“the Agency”) and its clients (“the Client”). By engaging our services, the Client agrees to the standards of practice outlined below.

1. Professional Scope

EN provides bespoke strategic communications, brand advocacy, and event curation. The specific nature of each engagement, including objectives and deliverables, shall be defined exclusively in a signed Letter of Engagement or Statement of Work (SOW).

2. Financial Framework

Investment: Professional fees are tailored to the complexity and scale of each project. Specific rates and payment schedules are documented in the proposal or SOW (Statement of Work).

Reimbursable Expenses: The Client is responsible for all third-party costs (e.g., venue hire, production, logistics, and travel) incurred in the execution of the project. All significant expenses are subject to prior Client approval.

Settlement: Invoices are issued in Japanese Yen (JPY) and are payable within the timeframe specified in the individual project contract. By prior mutual agreement, invoices may be issued in Euro (EUR) or other major currencies to accommodate international accounting requirements.

3. Intellectual Property

Agency Assets: All methodologies, strategic frameworks, and preliminary concepts developed by En remain the exclusive intellectual property of the Agency.

Client Rights: Upon full settlement of all outstanding invoices, the Client is granted a non-exclusive license to utilize the final deliverables for the specific purposes intended by the project.

4. Confidentiality

The protection of heritage and strategic intent is paramount. Both parties commit to maintaining the strict confidentiality of all proprietary information, trade secrets, and non-public materials shared during the term of the engagement.

5. Accountability

En acts as a strategic partner. While we apply the highest standard of professional discipline to achieve desired outcomes, the Agency does not guarantee specific commercial results or media saturation. Our total liability for any claim shall be limited to the professional fees paid by the Client for the specific engagement in question.

6. Governing Law

This agreement is governed by the laws of Japan. Any disputes arising from these Terms shall be resolved under the exclusive jurisdiction of the Tokyo District Court.
